[Section 9.9] of the Agreement shall be amended to reflect that Executive may be reimbursed for reasonable attorneys’ fees incurred in connection with negotiating and executing this Amendment, not to exceed $30,000, in accordance with the Company’s stand expense reimbursement policies and procedures.

Attorneys’ Fees. The Company shall reimburse the Executive for up to $10,000 in attorneys’ fees that he incurs in connection with the negotiation of this Agreement, including without limitation the Consulting Agreement attached as Exhibit A. For the avoidance of doubt, such reimbursement shall be subject to tax-related deductions and withholdings.
